Agreement

These Terms form a legal agreement between you and LCDRMS Enterprises, LLC, a North Carolina LLC operating as Secret Optimizer. By signing up, paying, or using our Services, you agree to these Terms.

The Services

Secret Optimizer provides search engine optimization (SEO) services, content creation (blog posts, written by AI under human review), Google Business Profile management, reporting and analytics, and chat- and email-based customer support. Exact deliverables depend on the tier you purchased.

Subscription, billing, and renewal

Monthly plans: billed monthly in advance. Renews automatically until cancelled. Cancel anytime through your account dashboard with no fees.

Annual plans: billed once per year, in advance, at a 20% discount. Renews automatically each year unless cancelled at least 7 days before renewal. Renewal reminder sent 14 days in advance.

Founding Member plans: one-time payment, non-recurring. Service continues for the lifetime of your business entity, subject to the conditions on the Founding Member page.

Setup fees: Local Anchor has no setup fee. Local Authority is $750. Multi-Location is $1,500. Personal Setup is $1,500. Charged once at sign-up. Waived for Founding Member purchases.

Failed payments: 7-day retry, then notification. After 14 days unresolved, account is suspended. After 60 days, account and data may be deleted.

Use of AI in service delivery

You acknowledge a meaningful portion of production work is performed by AI. AI-generated outputs are reviewed by humans before publishing/sending, but human review is not infallible. AI-generated content may contain errors despite review. We are not liable for losses arising from AI-generated content errors except in cases of gross negligence or willful misconduct on our part. We are committed to AI transparency and disclose AI usage on our website, in cold outreach, and in client communications.

Your responsibilities

Provide accurate, current, complete information at sign-up. Grant us read-only API access to your CMS, GBP, and Search Console as needed for service delivery. Maintain the security of your own logins. Use the Services only for lawful purposes. Don’t misrepresent us, our service, or the nature of AI involvement to your customers in a way that could cause them harm. Pay invoices on time.

You agree NOT to: resell our Services without written permission; use our Services for content that promotes illegal activity, hate speech, fraud, or sexually explicit material involving minors; reverse-engineer or scrape our internal tooling, AI prompts, or workflows; engage in any activity that could damage our reputation, infrastructure, or other clients.

Intellectual property

Content we deliver to you: once published or delivered, you own the rights to use it on your own properties. You can keep it after you cancel.

Our intellectual property: we retain ownership of our brand, website, internal processes, AI prompts, automation infrastructure, and any tools we build.

Your trademarks: you retain all rights. You grant us a limited license to use them in delivering the Services and in case studies (with your prior written approval for case study use).

Refunds and cancellation

See our Refund Policy for full details. Summary: monthly cancel anytime, current month non-refundable; annual cancel within 30 days for prorated refund minus 10% admin fee; Founding Member full refund within 30 days minus value of work delivered.

Acceptable use

You may not use the Services to publish content that violates law, infringes IP, promotes hate or violence, defames a person or business, contains malware, or misrepresents your business. Violations may result in account suspension or termination without refund.

Termination

By you: cancel anytime through your account dashboard. By us: we may suspend or terminate your account if you violate these Terms, fail to pay, or use the Services for prohibited purposes. Upon termination: outstanding fees become immediately due; we stop publishing new content; you retain all content already published; your data is retained for 60 days, then deleted unless legal obligations require longer.

Warranty disclaimer

WE PROVIDE THE SERVICES “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. We do not guarantee specific search engine rankings, traffic numbers, or conversion rates. SEO results depend on factors outside our control (Google algorithm updates, competitor activity, market conditions). We deliver the work; you evaluate the results.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: our total cumulative liability for any claim is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, lost profits, lost revenue, lost customers, or lost data.

Indemnification

You agree to indemnify us from any claims, damages, or expenses arising from your use of the Services in violation of these Terms, your content, your business operations, or your violation of any third-party rights.

Dispute resolution

Disputes will first be addressed by good-faith email or video discussion for at least 30 days. If unresolved, disputes will be settled by binding arbitration in Wake County, North Carolina, under AAA rules. Class actions are waived — disputes must be brought individually.

Governing law

These Terms are governed by the laws of the State of North Carolina. Venue for any non-arbitrable matter is Wake County, North Carolina.

Changes to these Terms

Material changes will be announced via email to active customers at least 30 days before taking effect.

Entire agreement

These Terms, the Privacy Policy, the Refund Policy, and any tier-specific agreements form the entire agreement between you and us.

SMS and mobile messaging terms

By providing a mobile phone number to Secret Optimizer — through the sign-up form, cal.com booking, voicemail at +1 919-367-1746, inbound SMS, or any customer-facing form on this site — you agree to receive SMS text messages from Secret Optimizer related to your engagement with us, including voicemail notifications, appointment confirmations, account updates, and other customer-service communications.

Message frequency: varies based on your account activity. Typical volume is fewer than 20 messages per month.
Message and data rates may apply based on your mobile carrier and plan. Carriers are not liable for delayed or undelivered messages.
Opt out: reply STOP, UNSUBSCRIBE, QUIT, END, or CANCEL to any message. You will receive one final confirmation message and no further messages.
Resubscribe: reply START.

Supported carriers: all major US carriers including AT&T, Verizon, T-Mobile, US Cellular, MetroPCS, Cricket, Boost, Virgin Mobile, and others. International messaging is not supported.
Service provider: SMS is delivered via Twilio Inc.

If you forward a Secret Optimizer SMS to another person, that person has not consented to receive messages from us, and we cannot be responsible for any charges that may result. Each individual must opt in independently.
